Affiliate Terms

These Affiliate Program Terms explain how commissions are earned, tracked, approved, and paid, along with the rules for promoting EmailOctopus (the "Program"). By participating in the Program, you agree to these terms and, where applicable, additional terms governing payout processing via Tolt's platform.
1. Commission & Earnings
Affiliates earn a commission equal to 30% of the invoice value charged to referred customers.
- Commission is paid for the first 12 months of a customer's subscription.
- If a referred customer upgrades or downgrades their plan, the commission will adjust accordingly.
- Commission is calculated based on the invoice charged for the previous month.
2. Currency & Conversion
Commissions are paid in USD.
If a referred customer pays in a non-USD currency, the amount will be converted to USD at the exchange rate on the date of the customer's payment.
3. Payout Schedule and minimums
Payouts are processed in line with the Program's schedule and via Tolt's payout services.
- Commissions are approved at the end of the month, for the previous month.
- Payments are made via PayPal or Bank Transfer.
- Payments are subject to a minimum 30-day approval period to allow for refunds or chargebacks.
- The minimum payout threshold is $50.
When Tolt acts as the payment agent, the Merchant's obligation to pay is satisfied once Tolt receives the funds from the Merchant. Tolt then remits those funds to the Affiliate based on the payout schedule and method specified by the Program.
Affiliates are responsible for providing accurate payout information (e.g., PayPal or bank details) and any tax compliance requirements that may be applicable.
4. Tracking and cookies
Affiliate tracking is done via a cookie valid for 31 days from the initial click.
- The cookie tracks the sign-up source for commission attribution.
- The last affiliate click before a sign-up earns the commission.
- Users may need to enable cookies in their browser for tracking to function properly.
5. Promotion Guidelines
Self-Referrals
Referring yourself is prohibited, contrary to the fair spirit of the Program, and may result in removal from the affiliate program and forfeiture of commissions.
Email Marketing
If you promote EmailOctopus via email, all recipients must have explicitly opted in to receive communication from you.
Paid Advertising
If you use paid advertising to promote EmailOctopus, you must comply with all applicable laws and any paid advertising guidelines provided by EmailOctopus.
6. Eligibility and participation
- All applications to join the Affiliate Program are subject to approval.
- You must have an active EmailOctopus account to participate.
7. Obligations and compliance (Including Tolt Conditions)
When the Program uses Tolt to process affiliate payouts:
- You authorise Tolt to receive payments from the Merchant and act as the payment agent to send your commissions to you.
- You must provide accurate legal, tax, and payout details for compliance.
- You must comply with EmailOctopus's Program terms, tracking rules, and any applicable payout requirements.
- You must not engage in fraudulent, deceptive, or prohibited marketing practices.
8. Changes and termination
EmailOctopus reserves the right to change these terms at any time and to remove any user from the Affiliate Program. If removed, no further commissions will be paid.
Where Tolt is involved as a payout agent, Tolt may also withhold, suspend, or terminate the payout relationship if you fail to comply with applicable terms or legal requirements.
9. Governing law
These terms are governed by the laws applicable to EmailOctopus's jurisdiction.
Where Tolt's agent terms apply, those terms are governed by the laws of the State of Delaware (USA). Affiliates are responsible for any tax reporting or withholding required by law.
